Non-Exclusive/mp3/wave Lease – Beat License
THIS AGREEMENT, made and entered into on the day of purchase serves as a legally binding contract between Travis Johnson/JMusiquex Production (“Licensor”) and Buyer (“Licensee”). This agreement grants the Licensee non-exclusive rights to the purchased instrumental____________for $100.00 (one hundred dollars ).

The licensee is required to share 10% royalties for synchronization licenses (works that are placed on television shows, film, advertisements, video games, movie trailers, etc.).
1. Leasing rights allow you to use the beat for ONE commercial recording or broadcast.
2. This recording can then be distributed at your price for up to 5,000 copies.
3. Selling more than 5,000 copies means you must acquire a new lease or exclusive rights.
4. You may also use the beat for non-profit promotional use or demos. (no free downloads)
5. You have full rights to record, alter, mix the beat/song in any shape, way, or form (except reselling the beat).
6. In the event that someone buys exclusive rights to the beat you have leased, your rights shall stand and the beat is still yours to use.
7. You may also acquire new leasing rights if you sell more than 5,000 copies since your contract predates exclusive sale.
8. Travis Johnson/JMusiquex Production will not receive royalty from the sale of records or downloads.
9. You must, however, give full credit to Travis Johnson verbally or in writing on all commercial recordings.
10. Upon purchasing leasing rights, the seller still owns the beat(s) and the seller is able to resell the beat(s) to any other party until exclusive rights have been purchased.
THIS AGREEMENT, made and entered into on the date of download serves as a legally binding contract between Travis Johnson/JMusiquex Production (“Licensor”) and Buyer (“Licensee”). This agreement grants the Licensee non-exclusive rights to the instrumental (“Instrumental”).
Master Recording
The Licensor hereby grants the Licensee the right to record vocal and/or instrumental synchronization to any or all parts of the Instrumental. The Licensee understands that their non-exclusive usage of the Instrumental is limited to one new composition and if the Licensee wishes to use the Instrumental in other new compositions, then the Licensee must obtain another license to use the Instrumental from the Licensor. The Licensee also agrees to refrain from editing the Instrumental that is being licensed in this agreement, by changing the arrangement of the Instrumental or by removing any melodies, instruments, drum programming or sounds that are contained within the Instrumental.
Profitable Distribution
The Licensee is limited to distributing one (1) version of the Master Recording for profitable use. The Licensee is limited to a distribution of five thousand (5,000) copies of the Master Recording, which can be distributed on any kind of recording media including, but not limited to: compact discs, DVDs, VHS videos, and all other forms of media. With one year from date leased beat was purchased to distribute until having to renew lease agreement.
Ownership
The Licensor maintains 100% full rights (copyright and ownership) of the instrumental and can continue to sell it non-exclusively and/or exclusively. The Licensee has neither the right nor authority to sell or license the rights to the Instrumental whether in whole or part to any other party. In the event, another individual purchase exclusive rights to your licensed Instrumental you will retain your non-exclusive rights under the limitations listed in this agreement and until these terms have been fulfilled.
INSTRUMENTALS
If the Instrumental includes samples, the Licensee understands that the sequence and music arrangement is considered original work. Samples may not be cleared before composition, and Licensee is required to seek clearance for the samples. The Licensee is responsible for clearing all samples used (if any) and that the Licensor cannot and will not be held liable for the misuse of any sampled material that the Licensee uses in conjunction with the composition/arrangement that is being licensed in this agreement.
Compensation
Payment for this License is non-refundable. If the Licensee fails to account to the Licensor, timely and complete the payments provided for hereunder, the Licensor shall have the right to terminate this License upon written notice to the Licensee. Such termination shall render the recording, manufacture and/or distribution of Recordings for which monies have not been paid subject to and actionable as infringements under applicable law.
Credit
The Licensee must give production credit to the Licensor for any and all distributed material. This can be done verbally (through recorded vocals on the Master Recording) or written in or on the CD booklet or outside cover. The Licensor reserves the right to keep an audio signature at the beginning of all non-exclusive instrumentals.

Exclusive License
Exclusive Lease – Beat License
This License Agreement is made on Purchase Date by and between The Buyer (“Licensee”) and The Seller (“Travis Johnson”). Licensor warrants that it controls the mechanical rights in and to the musical work named BEAT (“Composition”) being sold to the Licensee in the amount of____________ ( ) as of and prior to the Effective Date.
The Licensee and Licensor have agreed to the following terms:
Track Outs Sent Within 6 hours if not available at the time of the purchase
Exclusive lease allow the Licensee to use the Instrumental for unlimited commercial recordings or broadcasts. The Licensor has full rights to record, resale, alter, mix the Instrumental in any shape, way or form. The Licensee must give full credit to the Licensor as on all commercial recordings. Upon purchasing exclusive lease, the Licensor still owns copyright to the Instrumental and can resale it .
Publishing
BMI CAE/IPI # (# 1851782) – Songwriters/Composer:
(Travis Johnson) owns 50% publishing rights.
Displayed above and below is the information you will need to register your recordings with Performance Rights Organizations such as BMI, ASCAP, SESAC and distribution companies.
Licensee owns 50% of the publishing rights as an artist.
Licensor owns 50% of the publishing rights as producer.
Licensor owns still 100% of the instrumental.

Music Videos
The Licensor hereby grants to Licensee an exclusive License to use the Master Recording in unlimited music videos.
Synchronization Rights / Content Id Claims
The Licensor does not grant or authorizes music synchronization rights / Content Id with YouTube to the buyer. The licensee must outright own the beat or purchase synchronization rights.
Broadcast Rights
The Licensor hereby grants to Licensee an exclusive license to broadcast or air the Master Recording on unlimited radio stations or through unlimited station channels, respectively.
Credit
The licensee shall acknowledge the original authorship of the Composition appropriately and reasonably in all media and performance formats by acknowledging the relevant author in writing where possible and vocally otherwise. Where a project is commercially released and registered with a performance rights organization, Licensor shall be acknowledged as a Writer.
Compensation
Payment for this License is non-refundable. Indemnification
Licensee agrees to indemnify and hold Licensor harmless from and against any and all claims, losses, damages, costs, and expenses, including, without limitation, reasonable attorneys’ fees, arising out of or resulting from a claimed breach of any of Licensee’s representations, warranties or agreements hereunder.

Miscellaneous
1. The Licensor expressly forbids resale or other distribution of the Instrumental, either as they exist or any modification thereof.
2. Licensee must supply the Licensor with at least 1 copy of each final recording made using the Instrumental.
3. Licensee must include credits to Licensor on all physical media containing a portion or sum of the Instrumental that is being licensed in this agreement. Including but not limited to CD’s, CD covers, Cassette tapes, Cards, Mix tapes, Websites, etc.
4. Licensee must contact and inform Licensor of CD sales if the Instrumental is used for commercial purposes with a record label with gross revenue of over $1,000,000, the Licensor must receive credit for the Instrumental unless agreed upon otherwise by the two parties.
5. Written consent is required if the Instrumental is to be used for Radio Broadcast, Commercial Advertisement, Television Broadcast, Video Games, Internet, On-hold & In House Background Music, or film Soundtracks. By receiving this contract via email, you automatically agree to the terms stated above and gain exclusive license to the Instrumental.

MASTER TRACK RIGHTS AGREEMENT
This agreement is made by and between (Travis Johnson/JMusiquex Production) and the License, for the exclusive, non- transferable right to use the musical composition known as ( ) for all commercial recording, performing, broadcasting and distribution purposes (“ Exclusive Rights”).
RIGHTS GRANTED
This license permits the exclusive use of the Composition or any portion thereof in particular recording made in in connection with the Composition, including the exclusive right to perform, broadcast and distribute any derivative thereof. This license is non-assignable and any attempt to reproduce, share or resale the Composition itself is strictly prohibited.
FEES
The Exclusive Rights are granted for and in consideration of the sum of and other valuable consideration, receipt of which is hereby acknowledged.
WARRANTIES
Unless otherwise agreed in writing, Travis Johnson/Jmusiquex Production, offers the Composition as-is and makes no representations or warranties of any kind concerning the work, including, without limitation, warranties of title, merchantability, fitness for a particular purpose, non infringement, or the absence of latent or other defects, accuracy, or the presence or absence of errors, whether or not discoverable.
ROYALTIES:
Royalties for the sale, distribution, broadcast and performance of any derivative of the Composition shall be allocated as follows:
Sales: 3% of gross sales to Travis Johnson/JMusiquex Production

50%- Licensee
CREDIT:
All distributed works must show the following music credit: Produced by (Travis Johnson/JMusiquex Production)
LIMITATION ON LIABILITY:
Except to the extent required by applicable law, in no event will (Travis Johnson/JMusiquex Production) be liable to Licensee on any legal theory for any damages arising out of this license or the use of the Composition, even if (Travis Johnson/JMusiquex Production) has been advised of the possibility of such damages.

TERMINATION:
By receiving this contract via email, you automatically agree to the terms stated above and gain exclusive rights to the Instrumental.
This License and the rights granted hereunder will terminate automatically upon any breach by Licensee of the terms of this License.
